This course aims at providing practical insights on how the legal profession is practiced in an international organization. It will describe the process to structure a legal risk assessment and navigate areas where the application of the law is unsettled or unresolved with a view to providing clients with a framework in which they can operate their business. The course will also examine how to solve problems, the role of legal counsels and how they may bring more to the table that just legal expertise. Finally, as it all comes to money, the course will focus on structuring and managing a legal budget for the strategic financial planning of a legal department.

Programme

5 October 2023: 9h15 – 17h30 6 October 2023: 9h15 – 17h30 Course Goals: • Legal Risk Assessment. Participants will understand the importance of standard risk assessment terminology and models, how to break down complex information into smaller parts and how to structure a legal risk assessment. • Zone Model for Risk Assessment. Participants will appreciate the nuances of legal analysis in the “grey zone”, where the law is open to various interpretation. • Decisions under Uncertainty. Participants will be provided with tools to make hypothesis testing (Type I and Type II Errors) and will understand how to apply this methodology to decision making when the outcome and the probabilities are unknown. • Contingency Planning. Participants will familiarize on how they can plan for a ‘what if’ scenario and develop a legal contingency plan to keep the business running with minimal interruptions. • The Role of the Business Lawyer. Participants will appreciate how legal counsels, in their capacity as business partners, managers and trusted ethical advisors, may bring more to the table than just legal expertise. • Legal Budget. Participants will understand how to structure and develop a legal budget, how to select cost-effective outside counsel and how to engage them by means of alternative fee arrangements.


Stefano Agostini is an experienced commercial lawyer with US and Italian education and qualifications. He holds an LL.M. from Georgetown University Law Center and a law degree from the University of Bologna. He has been admitted to practice law in New York (1996) and in Italy (1993). Mr. Agostini has been practicing law for over 30 years, first as outside counsel for international law firms and then as in-house counsel for a US-listed corporation. He has worked in various jurisdictions, including in Milan, Washington, D.C, London, Lausanne and Hong Kong. During his legal practice, Mr. Agostini advised senior management and business clients on complex strategic, commercial and litigation matters and structured and implemented complex commercial transactions, including international joint ventures and M&A projects. Mr. Agostini has also effectively managed and trained a large team of lawyers in Europe and Asia.
